Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Vani CRM (the “Service”), operated by AIFirst, Mumbai, India (“AIFirst”, “we”, “us”, or “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business, you confirm you have authority to bind that business to these Terms.

1. The Service

Vani CRM lets businesses import contacts, build segments, and send bulk WhatsApp, Telegram, and Email campaigns, and track delivery and engagement analytics, on a pay-as-you-go credit basis.

2. Account registration

You must provide accurate, current information when creating an account and keep your login credentials confidential. You are responsible for all activity that occurs under your account. You must be at least 18 years old and legally able to enter into a binding contract in India to use the Service.

3. Acceptable use

You agree that you will not use the Service to:

  • Message any contact who has not given you consent to be contacted through WhatsApp, Telegram, or Email. You are solely responsible for the lawful basis and consent underlying every contact you upload or message.
  • Send unsolicited bulk messages, spam, phishing content, or misleading commercial communications.
  • Send content that is unlawful, defamatory, obscene, fraudulent, or that infringes any third party’s intellectual property or privacy rights.
  • Send content promoting prohibited goods or services (e.g. gambling, illegal substances, weapons, or counterfeit goods), or otherwise restricted by Meta’s Commerce and Business Messaging Policies.
  • Attempt to circumvent credit limits, rate limits, or security controls, or use the Service to send messages on behalf of unrelated third parties without our written consent.
  • Reverse engineer, resell, or use the Service to build a competing product.

We may suspend or remove content, campaigns, or accounts that we reasonably believe violate this section, with or without notice.

4. WhatsApp Business API compliance

WhatsApp campaigns sent through the Service are delivered via Meta’s WhatsApp Business Platform. By connecting a WhatsApp Business number, you agree to comply with Meta’s Business Messaging Policy, Commerce Policy, and template message guidelines, including that:

  • All message templates are subject to Meta’s approval process and may be rejected or removed at Meta’s discretion.
  • You must have opt-in consent from a recipient before sending them template messages, and must honour opt-out requests promptly.
  • Your WhatsApp Business number’s quality rating and messaging limits are set and enforced by Meta, and repeated policy violations may result in your number being restricted or banned by Meta, independent of any action by us.
  • We are not liable for any suspension, rate limiting, or ban of your WhatsApp Business number by Meta.

5. Credits and billing

  • The Service operates on a prepaid credit system. WhatsApp messages consume 2 credits, Telegram messages consume 1 credit, and emails consume 0.5 credits, unless otherwise stated on our pricing page.
  • Credits are purchased in advance through Razorpay and are non-transferable.
  • Except where required by law, credit purchases are non-refundable once credits have been added to your account. Unused credits are not eligible for cash refunds, but we may consider refunds in cases of demonstrable service failure, at our discretion.
  • We may change credit pricing prospectively; changes will not affect credits already purchased.
  • All amounts are in Indian Rupees (₹) and are inclusive of applicable taxes unless stated otherwise.

6. Your data and content

You retain ownership of the contact data, message content, and creative assets you upload to the Service (“Your Content”). You grant us a limited licence to process Your Content solely to provide the Service, including transmitting it to Meta, Telegram, and our email delivery partners as needed to send your campaigns. 7. Intellectual property

The Service, including its software, design, and branding, is owned by AIFirst and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks or branding except as necessary to use the Service.

8. Suspension and termination

We may suspend or terminate your account, without refund of unused credits, if you materially breach these Terms, misuse the Service, violate Meta’s policies in a way that puts our platform at risk, or fail to pay amounts due. You may close your account at any time by contacting us at raghavmanishprakash@gmail.com. Sections of these Terms that by their nature should survive termination (including billing, liability, and governing law) will continue to apply.

9. Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted or error-free operation of the Service, or that message delivery, open, or click rates will meet any particular benchmark, as these depend in part on third parties including Meta, Telegram, and email providers outside our control.

10. Limitation of liability

To the maximum extent permitted by law, AIFirst and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising from your use of the Service. Our total aggregate liability for any claim arising out of or relating to the Service will not exceed the amount you paid us for credits in the 3 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless AIFirst from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, Your Content, your violation of these Terms, or your violation of any third party’s rights, including any claim that you messaged a contact without appropriate consent.

12. Governing law and jurisdiction

These Terms are governed by the laws of India. Subject to any mandatory consumer-protection rules, the courts of Mumbai, Maharashtra shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.

13. Changes to these Terms

We may update these Terms from time to time. We will update the “Last updated” date above and, for material changes, notify you by email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
